Andy Manchir
Andy is a director in Katz, Sapper & Miller's Valuation and ESOP Services Groups. Andy helps clients understand the value of their business and advises them on succession planning options, including ESOP, third-party sales, or family transitions. He has extensive experience with feasibility studies for business owners considering an ESOP, ESOP structuring and financing, and valuations and opinions needed for ESOP formations, updates, and terminations. Additionally, Andy has performed business valuations for several other purposes, including valuations for estate and gift, mergers and acquisitions, and litigation support. He is an active member of the NCEO and the ESOP Association (TEA) and serves on TEA's Valuation Advisory Committee. Andy is a Certified Exit Planning Advisor (CEPA), an ASA (Accredited Senior Appraiser), and a Certified Management Accountant (CMA).
Mark Flinchum
Mark is a partner in Katz, Sapper & Miller's Business Advisory Group, where he advises clients on tax decisions that affect their bottom line. His expertise includes strategic tax planning, business analysis, and structuring, advocacy in IRS tax matters, and consulting on financial statement issues. Mark regularly assists clients with growth opportunities, financing structures, and succession planning issues and has significant experience planning, structuring, and negotiating M&A transactions. He currently sits on the board of directors of two successful ESOP companies. His attention to proactive, value-added business and tax advice to his clients has resulted in long-term trusted advisor relationships. As partner-in-charge of the firm's ESOP services group, Mark counsels clients on the unique opportunities and potential tax benefits of creating an ESOP and provides guidance throughout the many stages of an ESOP transaction. He is frequently a contributing author to firm and industry publications, as well as a regular presenter on ESOP issues.
