In Abraham v. Norcal Waste Systems, Inc., 9th Cir., No. 99-17040, 9/7/01), an appeals court overruled a lower court's decision that ERISA preempted a claim by shareholders (some of whom were also ESOP participants) against Norcal for defaulting on a loan.

In the last issue of the newsletter, our math was wrong in the example of how to diversify in an ESOP. In the second bullet point in the example, the text should read "So now the calculation is 25% of 1,100 shares, or 275 shares eligible to be diversified.

There has been some buzz lately (again) about something called an "ERSOP" (employee retirement stock ownership plan). Promoters are offering to install these tax-qualified plans, replete with an independent valuation, for as little as $4,000.
